Effective date: 16 October 2026
These Terms & Conditions (“Terms”) govern your use of the website at virusha.tech and its subpages (the “Website”), and set out the general terms on which Virusha Technologies (“Virusha Tech”, “we”, “us” or “our”) provides its services. Please read them carefully.
Acceptance of these terms
By accessing or using the Website, you agree to these Terms and to our Privacy Policy and Cookie Policy. If you do not agree, please do not use the Website.
If you use the Website on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms on its behalf.
About us
Virusha Technologies is a design, development and digital services agency, established in 2017 and based in Noida, Uttar Pradesh, India, with offices in New York, California and Kentucky. Virusha Technologies is a Virusha Group company. You can contact us at hello@virusha.tech.
Use of the website
You may use the Website for lawful purposes only. You agree not to:
- use the Website in a way that breaks any applicable law or regulation;
- attempt to gain unauthorised access to the Website, its servers or any connected systems;
- introduce viruses, malware or other harmful code, or interfere with the Website’s operation or security;
- scrape, copy or harvest content or data from the Website by automated means without our written permission; or
- submit false, misleading or infringing information through our forms, chat or tools.
We may update, suspend or withdraw any part of the Website at any time without notice. We aim to keep the information on the Website accurate and current, but it is provided for general information only and does not form an offer capable of acceptance.
Services, proposals and agreements
The services described on the Website, including web, app and software development, design, marketing, IT solutions and AI services, are provided on the basis of a written proposal, statement of work or services agreement agreed between you and us (an “Agreement”).
Each Agreement sets out the scope, deliverables, timeline, fees and any specific terms for that engagement. If an Agreement conflicts with these Terms, the Agreement prevails for that engagement. Work outside the agreed scope will be treated as a change request and may affect fees and timelines.
Quotes, fees and payments
Quotes and estimates are valid for 30 days from the date given unless they say otherwise, and are based on the information available at the time. Fees, payment milestones and accepted payment methods are set out in the Agreement.
Unless the Agreement says otherwise, invoices are payable within 15 days of the invoice date, and fees are exclusive of applicable taxes, which will be added where required by law. We may pause work on an engagement while undisputed invoices remain overdue. Third-party costs such as software licences, hosting, domains, plugins or paid tools are your responsibility unless the Agreement includes them.
Client responsibilities
To help us deliver on time, you agree to:
- provide accurate information, content, access and approvals when we need them;
- make sure that any materials you give us (such as text, images, logos, data and code) are lawful and that you have the rights to let us use them;
- review and give feedback on deliverables within the agreed timeframes; and
- keep your own accounts, passwords and backups secure.
Delays in providing these may affect timelines and fees.
Intellectual property
Website content. The Website and its content, including text, graphics, logos, images, case studies, designs and code, are owned by or licensed to Virusha Technologies and are protected by intellectual property laws. You may view and print pages for your own reference, but you may not copy, reproduce, modify, distribute or commercially use any content without our prior written permission.
Client deliverables. Unless the Agreement says otherwise, ownership of the final deliverables created specifically for you transfers to you once we have received full payment of the fees for that engagement. We keep ownership of our pre-existing materials, tools, know-how and reusable components, and grant you a non-exclusive licence to use them as part of the deliverables. Third-party and open-source components remain subject to their own licences.
Portfolio. Unless you ask us not to in writing, or the Agreement says otherwise, we may refer to you as a client and show the work we delivered in our portfolio and marketing, without disclosing your confidential information.
Confidentiality
Each party will keep confidential any non-public business, technical or financial information it receives from the other in connection with an engagement, and will use it only to perform the engagement. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law. Where an Agreement or a separate non-disclosure agreement contains confidentiality terms, those terms apply.
Third-party services and links
The Website links to and embeds services run by third parties, including our booking page, Zoho forms and live chat, Zoho Recruit job listings, YouTube videos and social media pages. We do not control these services and are not responsible for their content, availability or practices. Your use of them is subject to their own terms and policies.
AI tools on the website
The free AI tools on the Website, such as the Company Research and Prospect Research tools, are provided by a third-party platform (Relevance AI) for general information only. Their output is generated automatically, may be incomplete or inaccurate, and should be checked before you rely on it. The tools are provided “as is” and “as available”, and may be changed or withdrawn at any time.
Do not enter confidential or sensitive personal information into these tools, and use them only for lawful purposes and in line with the terms of any websites they look up.
Disclaimers
The Website and its content are provided “as is” and “as available”. To the fullest extent permitted by law, we make no warranties, express or implied, about the Website, including that it will be uninterrupted, error-free, secure or free of harmful components, or that its content is complete, accurate or up to date.
Content on the Website, including blog articles, case studies and statistics, is for general information and does not constitute professional, legal, financial or technical advice. Results described in case studies depend on each project and are not a guarantee of future results.
Limitation of liability
To the fullest extent permitted by law, Virusha Technologies will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or in connection with your use of the Website.
For services, our total liability arising out of or in connection with an engagement is limited to the fees paid to us under the relevant Agreement in the 12 months before the event giving rise to the claim, unless the Agreement says otherwise. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
Indemnity
You agree to indemnify Virusha Technologies against claims, losses and reasonable costs (including legal fees) arising from your breach of these Terms, your misuse of the Website, or materials you provide to us that infringe the rights of others or break the law.
Suspension and termination
We may suspend or restrict your access to the Website if we reasonably believe you have breached these Terms. Termination of a services engagement is governed by the relevant Agreement. Unless the Agreement says otherwise, either party may end an engagement by giving written notice, and you will pay for the work completed and costs incurred up to the termination date. Clauses that by their nature should survive, including those on payment, intellectual property, confidentiality, limitation of liability and governing law, continue after termination.
Governing law and disputes
These Terms, and any dispute arising out of or in connection with them or the Website, are governed by the laws of India. Subject to any dispute resolution terms in an Agreement, the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh, India have exclusive jurisdiction. Before starting proceedings, both parties will first try in good faith to resolve the dispute by discussion.
Changes to these terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date and applies from that date. Your continued use of the Website after the change means you accept the updated Terms. Changes do not affect Agreements already signed.
